By accessing or using Praisely (“the Service”), operated by Praisely, Inc. (“we”, “us”, or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Eligibility

You must be at least 18 years old to use Praisely. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you agree that you are authorized to accept these Terms on its behalf.

3. Account Registration

To access certain features, you may be required to create an account. You agree to provide accurate and complete information during registration and to keep this information up to date. You are responsible for safeguarding your password and for all activities that occur under your account.

4. Description of Service

Praisely provides software and tools to request, generate, and manage customer reviews via SMS and other channels. Features may include contact management, AI-generated review suggestions, analytics, and integrations with third-party services.

5. Subscription and Payment

We offer multiple subscription plans with varying features and usage limits. Some features may be available for free while others require a paid subscription. By subscribing, you agree to pay applicable fees and authorize us to charge your payment method on a recurring basis until you cancel.

6. Cancellation and Refunds

You may cancel your subscription at any time through your account dashboard. Upon cancellation, your access will remain active through the end of your billing period. We do not offer prorated refunds for unused time unless required by law.

7. User Responsibilities

You agree to use Praisely only for lawful purposes and in compliance with all applicable laws. You will not misuse the Service, attempt to gain unauthorized access, or use it in a way that harms other users or the platform.

8. Review Content and AI Output

All reviews generated through Praisely’s AI tools are suggestions and must be reviewed by the user before publishing. You retain full responsibility for the content you distribute, including any legal claims or compliance requirements.

9. Intellectual Property

All content, software, and branding associated with Praisely are the intellectual property of Praisely, Inc. You may not copy, modify, distribute, or create derivative works without express written permission.

10. Third-Party Services

Our platform may integrate with third-party tools or services such as Twilio or Salesforce. We are not responsible for any issues, data use, or terms imposed by those services. You are responsible for reviewing and agreeing to their terms independently.

11. Limitation of Liability

To the maximum extent permitted by law, Praisely and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of the service.

12. Disclaimer of Warranties

Praisely provides the service on an “as-is” and “as-available” basis. We disclaim all warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Indemnification

You agree to indemnify and hold harmless Praisely, its affiliates, officers, and employees from any claims, damages, obligations, losses, liabilities, or expenses arising out of your use of the service or violation of these Terms.

14. Termination

Praisely reserves the right to suspend or terminate your access to the service at any time, with or without notice, for conduct that we believe violates these Terms, harms other users, or is otherwise deemed harmful to the platform.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Florida for the resolution of any disputes.

16. Changes to the Terms

We may revise these Terms of Service from time to time. If changes are material, we will provide notice via email or through the platform. Continued use of Praisely after such changes constitutes your acceptance of the updated Terms.

17. Feedback and Suggestions

Any feedback, comments, or suggestions you provide regarding Praisely is entirely voluntary and we are free to use such feedback as we see fit without obligation or compensation to you.

18. Force Majeure

Praisely shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, labor disputes, war, terrorism, government regulations, or internet failures.

19. Entire Agreement

These Terms constitute the entire agreement between you and Praisely regarding the use of our services and supersede any prior agreements between you and us, whether oral or written.
